The new note provides expert guidance on key legal issues relating to guarantees and indemnities, including the distinction between a guarantee and indemnity.

Guarantees and indemnities can be a complex area of the law. For example, the distinction between a guarantee and an indemnity can be subtle and not always easy to spot in practice.

Practical Law New Zealand, in collaboration with Buddle Findlay, has published a new practice note on guarantees and indemnities. The new note provides expert guidance on key legal issues relating to guarantees and indemnities, including the distinction between a guarantee and indemnity.

It also covers:

  • Contractual issues relating to the formation and validity of guarantees and indemnities.
  • Issues relating to the guarantor's liability under a guarantee.
  • The rights of guarantors.
  • The termination and discharge of guarantees.
  • Regulatory issues.
